StopWarden for NinjaTrader 8: End User License Agreement and Risk Disclosure

This agreement is written in plain English to match what the software actually does.

Seller: Veyndaro (Sean Goffigan), Virginia, USA ("we"). Software: StopWarden for NinjaTrader 8, version 1.x, including its scripts, NinjaScript AddOn, and documentation. Effective: 2026-10-07

1. What you are licensed to do

While your subscription is active, or for the free tier, you may install and run the Software on the number of Windows machines your plan allows, for your own trading. You may not resell, sublicense, redistribute, or publish the Software or any part of it. You may modify it for your own use, but you may not distribute modified copies.

2. What the Software does, and what it does not do

The Software automates the NinjaTrader 8 desktop application that you install and license separately. It can launch it, sign in with credentials you store in Windows Credential Manager, connect the connections you name, enable and disable the strategy you name on the account you name, watch the NinjaTrader log for positions that are not covered by working stop orders, send close-position and cancel-order instructions through NinjaTrader's Automated Trading Interface, cancel orders on accounts with no running strategy, and send you alerts.

The Software does not generate trading signals, choose trades, or provide investment advice. Every trade your strategy takes is your strategy's decision and your responsibility.

Version 1 runs one strategy on one account per PC. Pro and Team are planned to cover more strategy-account pairs; they are being built and are not on offer yet.

3. Risk disclosure (read this)

  • Futures trading involves substantial risk of loss and is not suitable for every investor. You can lose more than you deposit on a live account. Evaluation and funded prop-firm accounts can be closed for rule breaches.
  • Automation can fail. Windows updates, NinjaTrader updates, broker or data outages, internet loss, power loss, user-interface changes, antivirus software and hardware faults can stop the Software from acting, or cause it to act late. The Software is a backstop. It does not replace stop-loss orders in your strategy or broker-side risk limits.
  • The Software can take actions on your account. It may flatten positions and cancel orders when its configured rules say so, including at end of day, when the kill switch is used, when the balance floor is hit, or when a position is unprotected. Test on a simulation account (for example Sim101) first. Check your configuration before every live use.
  • Prop-firm rules are your responsibility. Some firms restrict automation, VPS use, or third-party software. Read your firm's current rules before using the Software on its accounts.
  • Past behaviour of the Software on any account is not a guarantee of future behaviour.

4. You must still monitor your account

The Software is a backstop, not a replacement for you. You agree to check your broker or NinjaTrader for open positions and working orders at least once per trading day, and after any alert the Software sends you. If you cannot check, do not leave a strategy running.

5. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT IT WILL RUN WITHOUT INTERRUPTION OR ERROR, OR THAT IT WILL PREVENT ANY LOSS.

6. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY TRADING LOSSES, LOST GAINS OR EARNINGS, ACCOUNT CLOSURES, EVALUATION FEES, OR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM, IN THE AGGREGATE, IS LIMITED TO THE FEES YOU PAID FOR THE SOFTWARE IN THE THREE MONTHS BEFORE THE CLAIM AROSE.

7. Your data and credentials

Credentials stay on your machine in Windows Credential Manager. The Software never sends them to us. It sends alert text only to the Telegram chat or Discord webhook you configure. Licence checks send your licence key, a hashed machine id and the StopWarden version to our licence server, and every copy asks our server once a day whether a newer version exists; none of this carries anything about your trades. 8. Trademarks

NinjaTrader is a registered trademark of NinjaTrader Group, LLC. Tradovate is a trademark of its owner. The Software is independent and is not affiliated with, endorsed by, or sponsored by NinjaTrader, Tradovate, or any prop firm.

9. Subscription, automatic renewal, and how to cancel

StopWarden is not open yet and nothing is sold today. When it opens, Standard, Pro and Team are planned as monthly subscriptions sold through Whop, each planned to start with a 7-day trial that requires a card. The price shown at checkout is the price that applies. Your subscription will renew automatically each month, and your card will be charged the then-current price on each renewal date, until you cancel. You will be asked to consent to this automatic renewal when you subscribe.

Once paid plans open, to cancel: open your Whop account, find the StopWarden membership, and press Cancel. Cancellation takes effect at the end of the current billing period; you keep Protect until then and are not charged again. You can also email support and we will cancel for you. On a plan with a trial, cancel before the 7-day trial ends to avoid the first charge; you then pay nothing. We email you before any change in price.

The free tier (Scan + Watch) has no subscription and no charge.

10. Refunds

Once paid plans open, any first charge is planned to be refundable for 14 days, for any reason, through Whop. See the Refund policy.

11. Termination

The license ends when your subscription ends, or immediately if you breach this agreement. On termination, uninstall the Software by running uninstall.ps1 from an Administrator PowerShell in the StopWarden program folder (the FAQ has the exact command). The free tier may continue to be used under sections 2 through 8.

12. Governing law

These terms are governed by the laws of Virginia, USA. Venue for any dispute: the courts of Virginia, USA.
